Eligibility and Accounts
You must be at least 18 years old to create an account or subscribe. You must also be able to form a binding contract to use the Services.
You must provide accurate account information and keep it up to date. You are responsible for all activity that occurs under your Account, including activity by your employees, contractors, and agents.
You must keep login credentials, API keys, and tokens confidential and secure. You must notify us promptly at [email protected] if you believe your Account or credentials have been compromised.
License and Right to Use
Subject to these Terms, payment of applicable fees, and your compliance with all applicable plan limits and Documentation, Flavonomics grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during the Subscription Term to access and use the Services for your internal business purposes and any expressly permitted commercial purposes described in your plan or order form.
Your right to use the Services is a license, not a sale. No ownership rights in the Services, Outputs, or underlying data, models, taxonomies, or scoring systems are transferred to you except as expressly stated in these Terms or an applicable order form.
Permitted Use
You may use the Services only in accordance with these Terms, the Documentation, your plan limits, and applicable law.
Unless your plan or order form expressly permits otherwise, you may:
- use the Services in your internal business workflows;
- use the API and MCP Services to power your own applications and internal tools;
- display limited Outputs to your end users as part of a value-added application or workflow; and
- temporarily cache Outputs solely as reasonably necessary for performance, reliability, or user experience, subject to Section 8.
Any broader rights to embed, redistribute, resell, sublicense, or provide the Services or Outputs to third parties must be expressly granted in a signed order form.
Restrictions
You must not, and must not permit any third party to:
- use the Services in violation of any law, regulation, or third-party right;
- copy, reproduce, modify, create derivative works of, distribute, sell, lease, sublicense, or resell the Services, except as expressly permitted;
- access or use the Services to build, supplement, train, validate, benchmark, or support any product, database, model, or service that competes with, substitutes for, or replicates the Services or any material part of them;
- systematically query, scrape, crawl, harvest, download, export, capture, cache, store, or re-use Outputs or other data returned by the Services in order to reconstruct, replicate, infer, or create a substitute for all or any substantial part of the Services, any database, any taxonomy, any scoring logic, or any underlying dataset;
- extract or re-utilize the whole or any substantial part of the contents of any database made available through the Services, or engage in repeated or systematic extraction or re-utilization of insubstantial parts of such database contents;
- use the Services to create or populate a local or third-party database containing raw or substantially complete Flavonomics data, except where explicitly authorized in writing;
- reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive source code, trade secrets, underlying structure, weighting logic, ranking logic, or non-public aspects of the Services, except where such restriction is prohibited by law;
- bypass, disable, interfere with, or circumvent rate limits, quotas, authentication measures, paywalls, access controls, or other technical restrictions;
- share credentials across unrelated users, organizations, or services, or permit unauthorized access to the Services;
- use the Services in a way that interferes with or disrupts their integrity, performance, or availability;
- use the Services to generate, support, or make claims relating to nutrition, allergens, food safety, medical outcomes, regulatory compliance, or legal compliance unless independently reviewed and validated by appropriately qualified professionals; or
- remove or obscure any proprietary notices contained in the Services, Outputs, or Documentation.
Plan Limits, Usage Caps, and Overages
Your use of the Services may be subject to plan-specific limits, including limits on requests, credits, users, applications, storage, throughput, or features.
We may monitor usage to verify compliance with these Terms and your plan. If you exceed applicable limits, we may charge overage fees, throttle usage, suspend access to affected features, require you to upgrade your plan, or take any combination of those actions.
API and MCP Access
Use of the API and MCP Services is subject to these Terms, the Documentation, and any technical requirements we publish.
You are responsible for:
- securing your API keys, tokens, and other credentials;
- implementing reasonable technical and organizational safeguards in your systems;
- ensuring that your applications present Outputs responsibly and not in a misleading way; and
- ensuring that your end users comply with any applicable restrictions communicated by you or by us.
We may add, modify, or remove APIs, MCP tools, endpoints, fields, or features from time to time. We will use commercially reasonable efforts to provide notice of material deprecations where practicable.
Caching, Storage, and Retention of Outputs
Unless your plan or order form expressly permits broader retention rights:
- you may cache Outputs only for a limited period reasonably necessary for performance, reliability, or user experience;
- you must not maintain a permanent or long-term store of raw Outputs for the purpose of recreating or substituting for the Services;
- you must not store raw flavour profiles, bulk similarity data, association matrices, or other structured data returned by the Services in a way that enables reconstruction of a substantial portion of the underlying dataset;
- you must not export or compile Outputs into an offline mirror or archive of the Services; and
- upon termination or expiration of your right to use the Services, you must promptly stop using and delete any retained Outputs that you are not expressly permitted to keep.
End User Applications and Redistribution
If your plan allows you to incorporate Outputs into an end user application, you may display Outputs only as part of a bona fide value-added product or workflow.
Unless expressly authorized in writing, you may not:
- expose raw API responses or structured raw data feeds to end users or third parties;
- offer bulk export or download functionality for Flavonomics Outputs;
- provide third parties with standalone access to the Services through your application; or
- redistribute Outputs in a manner that competes with or substitutes for the Services.
Fees and Payment
You agree to pay all fees specified in your plan, order form, or pricing page. Unless otherwise stated, fees are non-refundable and exclusive of applicable taxes.
If payment is overdue, we may suspend access to the Services after providing notice, unless prohibited by law or otherwise agreed in writing.
Intellectual Property
The Services, including all software, datasets, databases, taxonomies, labels, feature definitions, scoring methods, rankings, Documentation, branding, and related intellectual property rights, are and remain the exclusive property of Flavonomics and its licensors.
Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.
If you provide suggestions, ideas, or feedback relating to the Services, we may use them without restriction or obligation to you.
Customer Data
As between the parties, you retain ownership of your Customer Data.
You grant us a non-exclusive, worldwide, limited right to host, process, transmit, and use Customer Data as necessary to provide, secure, support, maintain, and improve the Services and to enforce these Terms.
You represent and warrant that you have all necessary rights and permissions to provide Customer Data to us and to permit its use as contemplated by these Terms.
Service Changes, Suspension, and Security
We may modify the Services from time to time.
We may suspend or limit access to some or all of the Services immediately if we reasonably believe that:
- your use poses a security risk to the Services or any third party;
- you have breached these Terms;
- your use is abusive, fraudulent, or unlawful;
- you are using the Services in a way likely to result in unauthorized extraction, replication, or misuse of our data or intellectual property; or
- suspension is necessary to protect the integrity, availability, or security of the Services.
Where appropriate, we will use reasonable efforts to notify you and restore access once the issue is resolved.
Beta, Preview, and Experimental Features
We may designate certain features as beta, preview, early access, or experimental. Those features may be incomplete, modified, or discontinued at any time and are provided "as is" without any warranty, service level commitment, indemnity, or guarantee of continued availability.
Disclaimers
The Services and Outputs are provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, Flavonomics disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted use, or that the Services or Outputs will be error-free or suitable for any particular culinary, commercial, scientific, legal, medical, nutritional, allergen, regulatory, or safety-related purpose.
You are solely responsible for evaluating the suitability of the Services and Outputs for your use case and for any decisions or actions you take based on them.
Limitation of Liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
Subject to the preceding sentence, to the maximum extent permitted by law:
- Flavonomics will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings, even if advised of the possibility of such damages; and
- Flavonomics’ total aggregate liability arising out of or relating to the Services or these Terms will not exceed the amounts paid or payable by you to Flavonomics for the Services giving rise to the claim during the twelve (12) months preceding the event giving rise to liability.
Indemnity
You will defend, indemnify, and hold harmless Flavonomics and its affiliates, officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- your Customer Data;
- your applications or end user products;
- your breach of these Terms; or
- your use of the Services in violation of law or third-party rights.
Term and Termination
These Terms begin when you first access or use the Services and continue until terminated.
We may terminate or suspend these Terms or your access to the Services immediately upon notice if you materially breach these Terms, fail to pay applicable fees, or use the Services in a prohibited manner.
Upon termination or expiration:
- your rights to access and use the Services immediately cease;
- you must stop using the Services;
- you must delete any retained data or Outputs that you are not expressly permitted to keep; and
- Sections that by their nature should survive termination will survive, including Sections 5, 8, 9, 10, 11, 16, 17, 18, 19, 20, 21, and 22.
Confidentiality
If either party receives non-public information designated as confidential or that reasonably should be understood to be confidential, the receiving party will protect it using reasonable care and use it only as necessary to exercise rights or perform obligations under these Terms.
This section does not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known, was independently developed, or was lawfully received from a third party without duty of confidentiality.
Governing Law and Dispute Resolution
These Terms and any non-contractual disputes arising out of or in connection with them are governed by the laws of England and Wales, excluding conflict-of-laws rules.
The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, unless applicable law requires otherwise.
General
We may update these Terms from time to time. If we make material changes, we will post the updated Terms on our website and update the "Last updated" date above. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the updated Terms.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
These Terms, together with any applicable order form, pricing terms, data processing agreement, or other documents expressly incorporated by reference, constitute the entire agreement between you and Flavonomics regarding the Services and supersede any prior or contemporaneous understandings relating to the same subject matter.
